Please read these Terms of Service ("Terms") carefully before purchasing or using Zero Budget Local ("the Software"). By downloading, installing, or using the Software, you agree to be bound by these Terms. If you do not agree, do not use the Software.

1. The Parties

"Zero Budget LLC" ("we," "us," or "our") is a Colorado limited liability company located in Denver, Colorado. "You" refers to the individual or entity that purchases or uses a license to the Software.

2. License Grant

Upon purchase, we grant you a personal, non-exclusive, non-transferable, non-sublicensable, perpetual license to install and use one (1) copy of the Software on up to three (3) personal computers that you own or control, solely for your own personal financial management purposes.

This is a one-time license purchase. There are no recurring fees. You are not purchasing a subscription or a cloud service — you are purchasing the right to use the Software as described above.

The Software is licensed, not sold. Zero Budget LLC retains all right, title, and interest in and to the Software, including all intellectual property rights. These Terms do not grant you any ownership rights in the Software.

5. Updates & Future Versions

Your one-time license entitles you to all minor and patch updates (e.g., v1.x) released for the major version you purchased. We reserve the right to charge separately for new major versions. We are under no obligation to provide updates, but we will endeavor to maintain the Software in working condition on supported operating systems.

6. Refund Policy

We offer a 7-day money-back guarantee from the date of purchase. If you are not satisfied with the Software for any reason, contact us within 7 days of your purchase date to request a full refund. Refund requests submitted after 7 days will not be honored except where required by applicable law.

To request a refund, email us at support@zerobudgetlocal.com with your order confirmation. Refunds are processed through our payment processor and may take 5–10 business days to appear on your statement.

7. Privacy & Data

The Software stores all your financial data locally on your own computer. We do not collect, transmit, or have access to your financial data. The Software does not require an internet connection, an account, or any cloud service to function. Any limited telemetry or update checks, if present, will be disclosed in the Software's documentation and can be disabled.

8. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ZERO BUDGET LLC EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Software will be error-free, uninterrupted, secure, or free of viruses or other harmful components, or that defects will be corrected.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ZERO BUDGET LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES — INCLUDING LOSS OF DATA, LOSS OF PROFITS, OR LOSS OF GOODWILL — ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL CUMULATIVE LIABILITY EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless Zero Budget LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including reasonable attorneys' fees) arising out of your violation of these Terms or your use of the Software in a manner not authorized by these Terms.

11. Termination

This license is effective until terminated. Your rights under this license will terminate automatically without notice if you fail to comply with any term of these Terms. Upon termination, you must destroy all copies of the Software in your possession. Sections 3, 4, 7, 8, 9, 10, 12, and 13 survive termination.

12. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict-of-law provisions. Any dispute arising out of or relating to these Terms or the Software shall be resolved exclusively in the state or federal courts located in Denver County, Colorado, and you consent to the personal jurisdiction of those courts.

13. General Provisions

Entire Agreement. These Terms constitute the entire agreement between you and Zero Budget LLC regarding the Software and supersede all prior agreements and understandings.

Severability. If any provision of these Terms is found to be unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force.

No Waiver. Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.

Changes. We may revise these Terms at any time. The current version will always be available at this URL. Continued use of the Software after changes are posted constitutes your acceptance of the revised Terms. Material changes will be noted with a new effective date.
